Atari Inc, Kicked from NASDAQ

After all the warnings and red flags, NASDAQ finally had enough of Atari. Starting May 9th, NASDAQ will suspend any sort of trading of Atari’s shares. Full press release below:
Atari, Inc. (Nasdaq: ATAR), an interactive entertainment company, announced today that on May 7, 2008 it received a letter from The Nasdaq Stock Market stating that a Nasdaq Listing Qualifications Panel has determined to delist Atari, Inc.’s securities from the Nasdaq Global Market and will suspend trading of Atari, Inc.’s shares effective on the opening of business on May 9, 2008. Atari, Inc. plans to request a review from the Nasdaq Listing and Hearing Review Council, which could alter or dismiss the Panel’s determination. However, such a request will not delay the suspension of trading. Atari, Inc. now expects to be quoted on the Pink Sheets, an electronic quotation service maintained by Pink Sheets LLC. The Pink Sheets allow continued trading of securities of delisted companies. Atari, Inc. expects its common stock to be traded on the Pink Sheets under the symbol “ATAR” or “ATAR.PK”. Atari, Inc.’s common stock may also be quoted on the OTC Bulletin Board(R), a regulated quotation service for over-the-counter securities, provided one or more market makers apply to quote Atari, Inc.’s securities.
Infogrames Acquires Atari

In March, Infogrames sent Atari a letter expressing they wanted to buy the remaining stocks of the company, after that, Atari got serious on the offer and hired a financial advisor to evalutate the offer. Now it’s become official; Infogrames has acquired Atari Inc. for $11million dollars. Here’s what the CEO of Infogrames had to say:

NASDAQ Threatens Atari, Delisting Possible

Atari has been threatened by NASDAQ. This however, isn’t the first time, as Atari has been warned several times due to failure to meet market compliance and file annual reports on time. According to the official annoucement from Atari:
The most recent deadline for complying with NASDAQ requirements - having the company’s value reach or exceed USD 15 million for ten consecutive days - was March 20, 2008. The value of Atari Inc.’s publicly held shares did not reach that level within the allotted time.
Atari is hoping to stay a bit longer, especially with the Infogrames buy-out offer at hand.
Atari Getting Serious About The Infogrames Proposal

After Infogrames offered to buy Atari, Atari has now hired a financial advisor evaluate the buy-out proposal. According to GamesIndustry.biz :
Atari Inc. has informed parent company Infogrames that it will not be in a position to respond to the buyout offer by the original deadline.
The company announced the hiring of a financial advisor, Duff & Phelps LLC, to help it evaluate the offer and is seeking an extension.

Infogrames offers to buy Atari

Atari Inc. has announced that it received a letter from Infogrames Entertainment S.A., the company’s majority shareholder, expressing its intent to acquire the remaining outstanding stock of the company. Infogrames’ offer, which is non-binding, amounts to USD 1.68 per share for the Atari Inc. stock it does not own.
Atari Inc. said that a special committee of the company’s board of directors intends to undertake, together with its advisors, a thorough evaluation of the proposal.
There is no assurance that any transaction will occur or to the terms of any transaction.
